Nebraska Hold Harmless Agreement

This Hold Harmless Agreement (hereinafter referred to as the "Agreement") is made and entered into on this ______ day of _______________, 20____, by and between _____________________ (hereinafter referred to as the "Indemnifier"), whose address is ___________________________________, and _______________________ (hereinafter referred to as the "Indemnitee"), whose address is ________________________________________.

WHEREAS, the Indemnitee wishes to safeguard itself from any claims, losses, damages, and liabilities which may arise from the action(s) or inaction of the Indemnifier during the term of the agreement or related to the services provided under this agreement;

NOW, THEREFORE, in consideration of the foregoing, and the mutual covenants contained herein, the Indemnifier does hereby agree to hold harmless and indemnify the Indemnitee against any and all claims, demands, losses, damages, liabilities, penalties, lawsuits, and legal proceedings, directly or indirectly arising from or in any way related to the agreement, to the fullest extent permitted by law in the State of Nebraska.

The Indemnifier further agrees to cover all reasonable attorneys' fees, court costs, and other expenses incurred by the Indemnitee in defending against such claims, provided that Indemnitee:

1. Notifies the Indemnifier promptly in writing of any claim, demand, or lawsuit;
2. Allows the Indemnifier control over the defense and settlement of said claim;
3. Provides all necessary assistance, at the Indemnifier's expense, for the defense of such claims.

This Agreement shall be governed by and construed in accordance with the laws of the State of Nebraska. Any disputes or legal proceedings related to this Agreement shall be resolved in the jurisdiction of the State of Nebraska.

The provisions of this Agreement are severable. If any provision or part thereof is held to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions or parts thereof shall remain in full force and effect.

This Agreement constitutes the entire agreement between the parties concerning the subject matter hereof and supersedes all prior agreements and understandings, whether written or oral, related to that subject matter. Any amendments to this Agreement must be in writing and signed by both parties.

The parties to this Agreement have set their hands and seals on the date first above written.
